Terms of Use
The terms set forth below (the "Agreement") govern your use of this web site ("Site").
By using or visiting the Site, you expressly agree to be bound by this Agreement
and to follow all terms and applicable laws and regulations governing the Site.
If you do not agree with this Agreement, your sole recourse is not to use the Site.
- Priority. This Agreement and Axtora's general Privacy Policy (available
at http://www.axtora.com/privacy.php)
(“Privacy Policy”) set forth the terms and conditions under which Axtora makes
the Service available to you. In the event of an inconsistency between this
Agreement and the Privacy Policy, this Agreement shall control.
- Content. The Site will give you access to content and software, which
is the property of Axtora and/or its suppliers and is protected by US and
international intellectual property laws. Axtora is free to, at any time,
add, modify or delete content and software on the Site. Nothing shall be construed
to committing Axtora to maintain, update, or otherwise provide any specific
content on the Site.
- Proper Use. You agree that you will not use any robot, spider, other
automated device, or manual process to monitor or copy any content from the
Site. Furthermore, the Site is provided to you for your own personal use, and
it may not be used for any commercial purposes. For example, you may not do
any of the following: use the Site to sell a product or service; use the Site
to increase traffic to your Web site for commercial reasons, such as advertising
sales; take the results from the Site and reformat and display them, or mirror
any portion of the Site on your Web site; or "meta-search" the Site. If you
wish to use any portion of the Site for commercial purposes, please contact
us for more information. Non-commercial use, including copying, reproduction,
altering, modification, creation of derivative works, and/or publicly display
of any content is, however, acceptable. Any use of the Site that infringes upon
Axtora's intellectual property rights or that used in violation of the terms
of this Agreement or the Privacy Policy will be investigated and Axtora shall
have the right to take appropriate civil and criminal legal action.
- User Contributions and Privacy. There are many opportunities within
the Site for you to actively participate. In the process of doing so, you may
provide certain comments, suggestions, data, or other information to Axtora
(collectively "Information"). Axtora shall have the right to retain and use
any such Information in current or future products or services, without further
compensation to you. To the extent such Information is protectable under intellectual
property laws, you agree to cooperate with Axtora as needed to obtain such
protection as Axtora may desire and you agree to assign your rights to such
Information to Axtora. Furthermore, Axtora may share aggregate (not personally
identifiable) Information with its business partners or other third parties.
Axtora will not, however, knowingly disclose personally identifiable Information
to third parties unless required to do so in order to comply with any valid
legal process, such as a search warrant, subpoena, statute, court order, or
if necessary or appropriate to address an unlawful or harmful activity.
- Changes in Terms of Use. Axtora reserves the right to modify or
terminate our services at any time and for any reason. Such modifications can
be made without providing notice to you or any other user. Please review these
terms of use from time to time to ensure that your use complies with these terms.
- Disclaimer of Warranties. All information provided on the Site is
provided on an "as is" basis and Axtora disclaims any liability for the accuracy,
completeness or reliability of the Site or information provided on the Site.
To the maximum extent permitted by applicable law, Axtora on behalf of itself
and its suppliers, disclaims all warranties and conditions, either express or
implied, including, but not limited to, implied warranties of merchantability,
fitness for a particular purpose, title and non-infringement with regard to
the Site. Any use of the Site is done so at your own risk.
- Limitation of Liability. Under no circumstances shall Axtora or
its licensors be liable to any user on account of that user’s use or misuse
of or reliance on the Site. Axtora shall under no circumstances be liable
for direct, indirect, incidental, consequential, special, exemplary, punitive
damages, damages for loss of profits, interruption of business, or for loss
or corruption of data, whether such claim is based on warranty, contract, tort
(including negligence), or otherwise, even if Axtora or its licensors have
been advised of the possibility of such damages. This limitation of liability
shall apply to any claim or action arising out of use of the Site.
- For Advertisers. Sponorships are sold via 2Checkout.com - The authorized
reseller for our advertising program. Our refund policy states that any sponsorship
purchased will be eligible for a full refund within 24 hours of purchase. There will
be no prorated refunds for unused advertising.
- Governing Law and Venue. This Agreement shall be construed, interpreted
and governed by the laws of South Carolina. Axtora
reserves all rights not specifically granted in this Agreement.
- Entire Agreement. This Agreement constitutes the complete agreement
between the parties and supersedes all prior or contemporaneous discussions,
representations, and proposals, written or oral, with respect to the subject
matters discussed herein. No modification of this Agreement will be effective
unless contained in a writing executed by an authorized representative of each
party. No term or condition contained in Licensee's purchase order will apply
unless expressly accepted by Axtora in writing. If any provision of the Agreement
is found void or unenforceable, the remainder will remain valid and enforceable
according to its terms. If any remedy provided is determined to have failed
for its essential purpose, all limitations of liability and exclusions of damages
set forth in this Agreement shall remain in effect.
